NOA Lithium Acquires New Claims At Its Flagship Rio Grande Project
March 29, 2023, Toronto, Ontario – NOA Lithium Brines Inc. (TSX-V: NOAL) (“NOA” or the “Company”) is pleased to announce that it has recently acquired two mining claims covering 896 hectares (“ha”) at the Rio Grande salar, located in Salta province, Argentina.
One of the claims, the Purita claim (“Purita”), is 60 ha and lies directly within surface salar, immediately adjacent to claim blocks controlled by NOA and surrounded by claims owned by Pluspetrol Resources Corporation, which host an existing lithium resource (see “About Rio Grande Project” below). NOA acquired Purita by winning the public tender to purchase the claim for a cost of US$330,000 in instalments over one year from Recursos Energeticos Y Mineros De Salta S.A. (“REMSA”, the state-owned mining company of Salta). REMSA retains a 2% NSR royalty on this claim which is purchasable by the Company for a cost to be negotiated prior to purchase.

La decisión alcanzada durante el encuentro celebrado en la Casa de Catamarca en la Ciudad de Buenos Aires permitirá compatibilizar la potencialidad exportadora del país con la disponibilidad de litio para impulsar un proceso de industrialización local que agregue valor en Argentina y que potencie el desarrollo de las provincias litíferas. Todo lo cual impedirá profundizar la primarización de la economía de las provincias norteñas y del país en general.
Un desafío que al compatibilizar la potencialidad exportadora del país con la disponibilidad de litio se presenta con claridad ante los desafíos que abren la movilidad eléctrica y la necesidad de almacenamiento de energías renovables, en el marco del proceso de transición energética mundial y de cara al compromiso de cuidar el planeta, combatiendo el cambio climático y el calentamiento global.

Los miembros de la Mesa del Litio coincidieron en que, la economía del litio representa una oportunidad para fortalecer la industrialización y avanzar en el desarrollo territorial, evitando los riesgos de una reprimarización de la economía argentina, que profundice las asimetrías existentes al interior del país.
Participación en las ganancias
Las provincias que integran la Mesa del Litio expresaron su preocupación frente a la limitada participación de las provincias productoras en las ganancias extraordinarias obtenidas por las empresas, a partir del crecimiento considerable del precio internacional. En ese sentido, comenzaron a evaluar medidas a adoptar para atender dicha situación.
Gerardo Morales, que ejerce la presidencia de la Mesa del Litio, trazó un satisfactorio balance de la reunión, indicando que “contemplamos la necesidad de contar con un plan estratégico para encaminar el proyecto de electromovilidad y, al mismo tiempo, disponer de sistemas de acumulación de energías limpias” y puntualizó que, en ese marco, “tomamos la determinación de impulsar un debate y negociaciones con las empresas productoras de litio o implementar medidas para que quede la mayor cantidad de litio en la República Argentina y así ejecutar proyectos de agregado de valor”.
Continuó señalando, que “también planteamos una mayor participación de Jujuy, Salta y Catamarca de las ganancias que reporta la comercialización de litio por parte de las empresas a cargo de los proyectos de producción” ello en atención al “incremento exorbitante de la cotización del litio, la cual no se compadece con la renta que están recibiendo las provincias citadas”. AbraSilver Announces that Rio Tinto has Commenced Drilling at the Arcas Copper-Gold Project in Chile

The Company’s wholly-owned Arcas project is subject to an earn-in with an option to joint venture agreement, whereby Rio Tinto may acquire up to a 75% stake in Arcas by incurring up to US$25 million in exploration expenditures. The initial exploration program is expected to consist of approximately 2,000 metres of reverse circulation drilling in five holes.

Arcas Project Overview
The Arcas Project is located in the Antofagasta Region, 245 km northeast of Antofagasta city, a world class mining hub. The Project is situated in the Atacama Desert, the cordilleran transitional zone between lower desert and high cordillera, at elevations ranging between 1,500-3,800 meters. The Arcas concession block constitutes a combined area of approximately 51,600 hectares and falls along the greater West Fissure-Domeyko mineralized trend which hosts numerous world-class porphyry copper deposits (e.g. Chuquicamata, Collahuasi, El Abra, and Quebrada Blanca). Despite being located adjacent a major mineral belt, the Arcas Project has, to date, had little modern exploration and remains in a preliminary stage of exploration.
On September 11, 2019, the Company’s wholly-owned subsidiary, Aethon Minerals Chile SpA (“Aethon”), entered into an earn-in with an option to joint venture agreement (the “Agreement”), whereby Rio Tinto may acquire up to a 75% stake in Arcas by incurring US$25 million in exploration expenditures. A summary of the key terms of the Agreement are as follows:
- 1st Option: If Rio Tinto incurs total project expenditures of US$4 million within 3 years, and makes aggregate cash payments to Aethon of US$300,000 during the first two years (which have already been paid), it will have the right to acquire a 51% interest in the Arcas project through the acquisition of 51% stock of a new company (“Opco”) that will be incorporated;
- 2nd Option: If Rio Tinto incurs additional project expenditures of US$5 million over the subsequent 2-year period, it will have a right to acquire an additional 14% interest in Opco (holder of the Arcas project), resulting in its total interest being 65%; and
- 3rd Option: If Rio Tinto incurs additional project expenditures of US$16 million over the subsequent 3-year period, it will have a right to acquire an additional 10% interest in Opco (holder of the Arcas project), resulting in its total interest being 75%.

AbraPlata Closes $18.0 Million Private Placement with $9.9 Million Investment from Eric Sprott

Toronto – September 01, 2020: AbraPlata Resource Corp. (TSX.V:ABRA; OTCPK: ABBRF) (“AbraPlata” or the “Company”) is pleased to announce that it has closed its previously announced non-brokered private placement (the “Placement”). In connection with the closing of the Placement, the Company issued 66,666,666 units (each, a “Unit”) at a price of $0.27 per Unit for gross proceeds of $18.0 million. Each Unit consisted of one common share in the equity of the Company (each, a “Common Share”) and one-half of one share purchase warrant (each whole warrant, a “Warrant”).
Each Warrant entitles the subscriber to purchase one additional Common Share at a price of $0.40 until the second (2nd) anniversary of the closing date of the Placement. Notwithstanding the foregoing, in the event that, following the January 2, 2021, the volume weighted average price on the TSX Venture Exchange has been at least $0.70 for 20 consecutive trading days, the Company may deliver a notice to the holders of Warrants accelerating the Expiry Date to the date that is 30 days following such notice, and any unexercised Warrants after such period shall automatically expire.
Mr. Eric Sprott through 2176423 Ontario Ltd. (“2176423”), a corporation which is beneficially owned by him, acquired 36,481,500 Units pursuant to the Private Placement. After closing of the Placement, Mr. Sprott now beneficially owns or controls 62,481,500 Common Shares and 44,240,750 Common Share purchase warrants, representing approximately 15.8% of the Company’s issued and outstanding Common Shares on a non-diluted basis and 24.3% on a partially diluted basis assuming exercise of all warrants held by Mr. Sprott. Prior to the closing of the Placement, Mr. Sprott owned 26,000,000 Common Shares and 26,000,000 Common Share purchase warrants. Mr. Sprott has signed an undertaking not to exercise his warrants until such time as the Company can obtain disinterested shareholder approval of the creation of a new control person, which is required once Mr. Sprott passes the 20% ownership threshold.
